1. About VIPNocturne

VIPNocturne is a trading name of Digital Onecore. We provide digital infrastructure services for nightlife venue owners including website design, automation systems, and AI-powered operational workflows.

2. Services

VIPNocturne offers the following services on a subscription basis:

Website design and development for nightlife venues.
Automation systems including lead tracking, contract management, and payment reconciliation.
AI-powered operational workflows including weekly venue dashboards, artist payment tracking, and post-event profit and loss reporting.

The specific services included in your subscription depend on the plan you have selected. Full details of each plan are available on our pricing page.

3. Subscriptions and Payment

Subscriptions are billed monthly in advance. Payment is due at the start of each billing period.

Founding partner pricing is locked for the lifetime of your subscription as long as your subscription remains active. If you cancel and resubscribe, standard pricing applies.

No setup fees apply to founding partners. For all other clients, setup fees are agreed prior to onboarding and confirmed in writing.

All prices are listed in Euros and exclude VAT where applicable. VAT will be added at the applicable rate for your location.

4. 30-Day Money-Back Guarantee

If your website is not live, your workflows are not running, and your operations are not visibly more organised within 30 days of your onboarding start date, you are entitled to a full refund. No conditions. No small print.

To request a refund under this guarantee please contact hello@vipnocturne.com within 35 days of your onboarding start date.

5. Cancellation

You may cancel your subscription at any time by contacting hello@vipnocturne.com. Cancellation takes effect at the end of your current billing period. No cancellation fees apply.

We do not offer partial refunds for unused time within a billing period unless covered by the 30-day guarantee above.

6. Your Responsibilities

By using our services you agree to:

Provide accurate information during onboarding and throughout your subscription.
Grant us the necessary permissions to connect and configure the third party tools included in your plan.
Maintain active subscriptions to any third party tools required to deliver your service.
Review and approve all automated actions before they are executed. Nothing sends, posts, or pays without your approval.

7. Our Responsibilities

We agree to:

Deliver the services described in your chosen plan within the timeframes stated.
Handle your business data with care and in accordance with our Privacy Policy.
Not train AI models on your business data.
Provide support throughout your subscription as described in your plan.
Notify you in advance of any material changes to our services or pricing.

8. Intellectual Property

All content, copy, code, workflows, and materials created by VIPNocturne remain the intellectual property of Digital Onecore unless explicitly transferred to you in writing.

Your business data, content, and materials remain your property at all times. Upon cancellation we will assist you in exporting your data within 30 days.

9. Third Party Tools

Our service relies on third party platforms including QuickBooks, PayPal, HubSpot, Canva, DocuSign, Eventbrite, Dice, and Google Workspace. We are not responsible for outages, changes, or discontinuation of these platforms. Where a required tool becomes unavailable we will work with you to find an alternative solution.

10. Limitation of Liability

To the fullest extent permitted by law, VIPNocturne and Digital Onecore shall not be liable for any indirect, incidental, or consequential damages arising from your use of our services. Our total liability to you in any calendar month shall not exceed the amount you paid us in that month.

Nothing in these terms limits our liability for fraud, death, or personal injury caused by our negligence.

11. Governing Law

These Terms and Conditions are governed by the laws of the Netherlands. Any disputes shall be subject to the exclusive jurisdiction of the courts of the Netherlands.

12. Changes to These Terms

We may update these Terms and Conditions from time to time. When we do we will update the effective date at the top of this page and notify active subscribers by email. Continued use of our services after changes take effect constitutes acceptance of the updated terms.
